For purchase of the products hereunder, the amount of each shipment shall not be less than EURO 。
4、卖方供给买方的产品符合中华人民共和国食品卫生标准。
Products supplied by the Seller to the Buyer shall meet China’s standards on food hygiene.
5、卖方允许买方在俄罗斯销售以上产品。买方负责产品在销售国应办理的进出口手续和销售产品相关法规认证。所产生的费用及责任都由买方独立承担。
The Seller shall permit the Buyer to sell the Products in Russia. The Buyer shall be responsible to obtain all import&export permits and related certification for sales of the Products which are required by local authorities at his own cost and responsibility.

The Buyer shall remit the total payment to the bank account appointed by the seller.
如买方未能履行上述义务，根据卖方的选择，可终止本合同或接受本合同的部份或全部，或就由此而发生的任何缺失提出索赔。
If the buyer fails to perform the obligations mentioned above, the seller, at its own option, shall have the right to terminate this Contract, or accept all or part of the contract or claim against the seller for any loss therefrom.

13、合同的完整性与转让/Completeness and Transfer of Contract:
（a）本合同中的条件和条款构成买卖双方（以下简称“双方”），对合同项下的货物的全部和最终理解。对本合同的任何修改、补充或对合同任何条款的免除，均必须经受约束方书面确认，否则无效。
The conditions and terms specified herein constitute all and final understandings of both the seller and the buyer (hereafter as “Both Parties”) on the goods hereunder. Any amendment, supplement hereto or cancellation of any term herein shall be confirmed by both parties in writing. Otherwise it will be in vain.
（b）未经卖方事先书面同意，本合同及合同项下的任何权益不得转让。
Any right and benefit granted herein shall not be transferred without obtaining the written consent of the seller.
14、担保/Guarantee：
卖方担保所有货物符合第一条规定的规格。除此之外，任何性质的陈述，担保和条件，均予排除并消灭。
The seller shall guarantee that all goods are made in accordance with the specification listed in Clause 1. All other statements, guarantee and conditions of any nature shall be cancelled.
15、许可证、关税和税收/Permit, Customs Duties and Taxes：
除本合同另有规定外，所属进口许可、许可证以及不属于卖方国家的任何政府机构征收的，一切进口税、关税和各种税收均由买方负担。
Unless specified otherwise, all import licenses, permits and import taxes, customs duties and any other tax not levied by any authorities of the Seller’s country shall be bore by the seller.
16、不可抗力/Force Majeure ：
如卖方遇到人力不可抗拒条件，包括但不限于火灾、水灾、地震、台风、自然灾害以及任何其它卖方不能合理控制的任何意外事故和情况。阻止、妨碍或干扰了本合同的履行时，本合同规定的卖方履约时间应自动延长。其延长时间应相当于因人力不可抗拒事件直接或间接地使卖方不能履行本合同的时间。受不可抗力事件影响的卖方应在合理的时间内，用电报或电传将不可抗力事件发生通知买方，并于一个月内将有关当局出具的不可抗力事件的证明函寄买方。
In case that the seller encounters any force majeure, including but not limited to, fire, flood, earthquake, typhoon and other natural disasters as well as any accident which is out of the seller’s control, the term of this contract shall be automatically extended if the seller’s performance of this contract is prevented or interrupted. The extended period shall be equal to the period during which the seller is unable to perform this Contract. The seller suffering the force majeure shall immediately inform the buyer of the occurrence of such event by means of cable or telex within a reasonable time, and shall also provide the evidence issued by the local authorities indicating the occurrence of such event to the buyer.
如果不履约的情况延续六十天以上，双方应立即修改合同，若从不可抗力事件发生日起一百二十天内双方当事人未能取得双方满意的解决办法时，任何一方都可以终止发行本合同的未执行部份。
If the delay exceeding more than 60 days, both parties shall immediately amend this Contract. If both parties can’t reach an agreement within 120 days from the date of such event, any party shall the right to terminate this contract.
17、索赔/Claim：
如发生货物在质量、数量或规格方面与本合同条款规定不符，卖方同意买方因此提出的索赔。该索赔要求应经卖方认可的有信誉的检验机构出具的报告证实。质量方面的索赔要求应于货物到达目的港后三个月内的书面形式提出，数量或规格方面的索赔要求，应于货物到达目的港后十五天以书面的形式提出。
In case of any incompliance with Clauses herein on quality, quantity and specification, the Seller agrees that the buyer may claim against him. The claim shall be evidenced by the report issued by a respectable testing organization acceptable by the seller. The claim on quality shall be submitted in writing within three months after the goods arrive at the destination port, and claims on quantity or specification shall be submitted in writing within 15 days after the goods arrive at the designation port.
在任何情况下，卖方对买方的利润损失、时间延误、商誉损害或其它由此引起的任何特殊或间接损失概不负责。
Under no circumstance, the seller shall be responsible for any profit loss, delay, reputation damage or other indirect and/or direct losses of the buyer.
18、运输、保险及费用承担/Transportation, Insurance and Expenses：
卖方承担货物至装运港的一切费用，买方承担装运港至买方目的地的一切费用。货物保险和运输保险由乙方根据需要自行决定是否购买，运输中发生任何性质的一切灭失和损害由乙方承担。
The seller shall be responsible for all expenses incurred during the shipment to the loading port and the buyer shall be responsible for all expenses incurred from the loading port to the destination. The insurance for goods and transportation shall be determined by Party B at its own discretion. All losses and damages of any nature during the transportation shall be on Party B’s responsibility.
19、其它条款/Other Clauses：
⑴、双方确立贸易关系后，买方需预交1万欧元给卖方，用于本合同产品专用包装准备金。买方预付给卖方的1万欧元专用包装准备金将冲销买方最后一批货的部分货款。如买方无法执行本合同的全部购买，其包装准备金将不予返还，用于补偿卖方为买方印制的专用包装费用。.
(1) After the relationship is established, the Buyer shall pay EURO 10000 to the Seller for the provision of packaging. Such amount paid by the Buyer to the Seller may be used as the payment for the last shipment. If the Buyer is unable to complete the task hereunder, the provision for packaging shall not be refundable, and shall be used as the compensation to the Seller for the packaging and printing.
⑵、买方按批采购，每次购货须提前30天将购货计划（如品种、数量）通知卖方，便于卖方作出生产安排。同时，买方在下订单后的三天内便将货款汇入卖方指定的帐号。
The buyer needs to inform the seller of plan of buying goods (such as type, amount) 30days in advance each time, so that the seller stock up with goods. The Buyer shall remit the payment to the bank account designated by the Seller within three days after the Buyer places an order.
20、仲裁/Arbitration：
本合同受中华人民共和国的法律管辖，并按其进行解释，一切因合同引起的或与合同有关的争议，如果可能应通过友好协商解决；如果协商不能解决，任何一方都可以提出仲裁。促裁地点为中华人民共和国北京，仲裁在中国国际贸易促进委员会对外经济贸易仲裁委员会进行，并适用它的仲裁规则。仲裁裁决是终裁的，对双方均有约束力。除仲裁另有裁定外，仲裁费由败诉方负担。
This contract shall be governed and construed by the laws of the People’s Republic of China. All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement is reached, any party may submit the case in dispute to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in Beijing City, P.R. China in accordance with its applicable arbitration rules and regulations. The award shall be final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
卖方和买方授权的高级职工或代表于上述日期签订本合同，特此为证。
